1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the Okovango ERP software platform, services, mobile applications, and related systems (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Definitions
“User” means any individual or entity using Okovango ERP.
“Personal Data” means any information relating to an identified or identifiable person as defined under the EU General Data Protection Regulation (GDPR).
“Data Controller” refers to the entity that determines the purposes and means of processing personal data.
“Data Processor” refers to Okovango ERP when processing personal data on behalf of a client.
3. Eligibility
By using the Service, you confirm that you:
* Are at least 18 years old (or the legal age of majority in your jurisdiction);
* Have the authority to enter into a binding agreement; and
* Will comply with all applicable laws and regulations.
4. Account Registration and Security
Users must register an account to access the Service. You agree to:
* Provide accurate and complete information during registration;
* Maintain the confidentiality of your login credentials; and
* Notify us immediately of any unauthorized access or breach.
Okovango ERP shall not be liable for losses arising from your failure to secure your account credentials.
5. Data Protection and GDPR Compliance
Okovango ERP is committed to protecting your personal data in compliance with the EU General Data Protection Regulation (GDPR) (EU) 2016/679, the Botswana Data Protection Act (2018), and other applicable data privacy laws.
5.1 Data Processing
* Okovango ERP acts as a Data Processor when processing personal data on behalf of clients.
* Clients act as Data Controllers and remain responsible for the lawful collection and use of personal data.
* Processing activities include data storage, access, reporting, analytics, and integrations necessary to deliver the Service.
5.2 Lawful Basis
Personal data is processed on the basis of:
* Contractual necessity (to provide the Service);
* Legitimate interest (to improve the Service and maintain security); or
* Explicit consent (where required by law).
5.3 Data Subject Rights
In accordance with GDPR and Botswana’s Data Protection Act, you have the right to:
* Access, correct, or delete your personal data;
* Restrict or object to processing;
* Data portability; and
* Withdraw consent at any time.

5.4 Data Security
We use industry-standard encryption, access control, and monitoring measures to safeguard data from unauthorized access, alteration, or disclosure.
5.5 Data Retention

5.6 International Transfers
Okovango ERP may transfer data to servers or partners located outside Botswana or the EU/EEA. All transfers comply with GDPR Chapter V requirements, including Standard Contractual Clauses (SCCs) and adequate safeguard mechanisms.
6. Intellectual Property
All intellectual property rights in Okovango ERP, including source code, designs, logos, and documentation, are owned by Okovango Software Inc.
Users may not copy, modify, reverse engineer, or distribute any part of the Service without written consent.
7. User Responsibilities
You agree not to:
* Upload or transmit malicious code;
* Use the Service for unlawful purposes;
* Infringe intellectual property or privacy rights of others;
* Circumvent security measures or access non-public areas.
Violation of these obligations may result in suspension or termination of access.
8. Subscription, Payment, and Renewal
If applicable, your use of the Service may be subject to subscription fees or licensing charges.
* Fees are billed according to the plan selected.
* All payments are non-refundable except as required by law.
* Subscriptions auto-renew unless cancelled prior to the renewal date.
9. Service Availability
Okovango ERP aims for 99.9% uptime. However, we may temporarily suspend services for maintenance or updates.
We are not liable for downtime caused by events beyond our control, including network outages or force majeure.
10. Limitation of Liability
To the fullest extent permitted by law:
* Okovango ERP is not liable for indirect, incidental, or consequential damages;
* Total liability in any claim shall not exceed the total fees paid by the user in the preceding 12 months;
* Nothing in these Terms limits liability for death, personal injury, or fraud.
11. Indemnification
You agree to indemnify and hold Okovango ERP, its affiliates, directors, and employees harmless from any claims, damages, or expenses arising from your misuse of the Service or violation of these Terms.
12. Termination
We reserve the right to suspend or terminate access to the Service at any time if:
* You breach these Terms;
* You misuse or abuse the platform; or
* Required by law or regulatory order.
Upon termination, your right to use the Service ceases immediately, and data may be deleted after a reasonable period unless required for legal or compliance purposes.
13. Amendments
We may update these Terms periodically to reflect changes in law, technology, or business operations. Updates will be communicated via email or within the Service interface. Continued use constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Botswana, without regard to its conflict of laws.
Disputes shall be resolved exclusively in the competent courts of Gaborone, Botswana.
